These Terms of Service (“Terms”) govern access to and use of the Tendaly platform, website, applications, software, products, and related services (collectively, the “Services”) operated by Tendaly (“Tendaly,” “we,” “our,” or “us”).
By accessing, registering for, subscribing to, or using Tendaly, you (“User,” “Customer,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree to these Terms, you must not access or use Tendaly.
Tendaly is an AI-powered procurement intelligence and tender management platform designed to help businesses discover procurement opportunities, analyze tender requirements, organize procurement workflows, generate proposal-related documents, manage procurement documentation, and access procurement-related financing opportunities.
Tendaly provides technology tools and AI-assisted services intended to support procurement-related workflows and commercial operations. Tendaly is not a government procurement authority, a procuring entity, a financial institution, a lender, an investment advisor, or a legal advisor.
To use Tendaly, users must be legally capable of entering binding agreements, use the Services for lawful business or professional purposes, provide accurate and complete registration information, and maintain the security of their account credentials.
Users are responsible for maintaining confidentiality of login credentials, restricting unauthorized access, and all activities occurring under their accounts.
Tendaly reserves the right to suspend or terminate accounts that contain false information, violate these Terms, engage in unlawful activity, compromise platform integrity, or create security or legal risks.
Tendaly may provide features including tender aggregation, procurement opportunity filtration, AI-powered tender summarization, proposal drafting assistance, procurement workflow management, document organization and storage, analytics and procurement insights, procurement financing enablement, and related commercial support tools.
Features may evolve, change, or be discontinued at Tendaly’s discretion.
Tendaly does not guarantee uninterrupted availability of any feature, integration, or functionality.
Tendaly uses artificial intelligence and automated systems to generate summaries, recommendations, proposal drafts, compliance documents, workflow suggestions, and related outputs.
Users acknowledge and agree that AI-generated outputs may contain inaccuracies, omissions, or incomplete interpretations, automated analysis may not capture all procurement requirements, and AI outputs should not be treated as legal, financial, procurement, or professional advice.
Users remain solely responsible for reviewing procurement documents, validating generated outputs, verifying compliance requirements, confirming eligibility criteria, and independently assessing procurement opportunities.
Tendaly does not guarantee procurement qualification, tender eligibility, proposal success, contract awards, financing approval, compliance outcomes, or the accuracy or completeness of AI-generated outputs.
Tendaly may facilitate procurement financing opportunities, commercial introductions, tender performance financing, contract-backed financing, working capital opportunities, or related commercial enablement services through third-party partners including banks, lenders, investors, insurers, procurement support providers, and commercial institutions.
Users acknowledge and agree that tendaly may share relevant business and procurement-related information with authorized financing or commercial partners where reasonably necessary to facilitate such services, financing decisions are made solely by third parties, and Tendaly does not control or guarantee financing outcomes.
Tendaly is not responsible for loan approvals or denials, financing terms, interest rates, lender conduct, investment outcomes, or financial losses arising from third-party commercial relationships.
Users are solely responsible for independently evaluating financing offers and commercial arrangements.
Users agree to use Tendaly lawfully and responsibly, provide accurate information, maintain secure credentials, comply with procurement laws and regulations, independently verify procurement requirements, and review all AI-generated outputs before use or submission.
Users must not upload unlawful, fraudulent, misleading, or infringing content, interfere with platform operations, attempt unauthorized access, reverse engineer the platform, distribute malware or harmful code, misuse procurement data, impersonate others, or use Tendaly for unlawful or unethical purposes.
Users are solely responsible for content uploaded, generated, submitted, or stored through the platform.
Tendaly assists users with procurement discovery, analysis, workflow management, and proposal preparation.
Tendaly does not submit tenders on behalf of users, guarantee tender submission success, guarantee eligibility, guarantee compliance, guarantee contract awards, or guarantee procurement outcomes.
Users remain fully responsible for reviewing tender requirements, preparing submissions, meeting deadlines, verifying compliance, and completing official submissions through the relevant procurement portals or authorities.
All rights, title, and interest in the Tendaly platform, including software, systems, AI models, algorithms, branding, logos, designs, workflows, databases, interfaces, and proprietary technology remain the exclusive property of Tendaly or its licensors.
Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
Users may not copy, reproduce, modify, distribute, reverse engineer, sublicense, or commercially exploit Tendaly technology without prior written authorization.
Users retain ownership of documents and content they upload, subject to the rights necessary for Tendaly to operate the Services.
Tendaly implements commercially reasonable safeguards designed to protect platform data and user information.
However, users acknowledge that no platform can guarantee absolute security, internet-based systems involve inherent risks, and procurement-related information may involve commercially sensitive data.
Users are responsible for controlling internal access permissions, protecting confidential information, and ensuring lawful use of uploaded materials.
Use of the Services is also governed by the Tendaly Privacy Policy.
Certain Tendaly services may require paid subscriptions.
Users agree to rovide accurate billing information, pay applicable fees, and comply with payment obligations associated with selected plans.
Subscription fees may include annual subscriptions, trial packages, enterprise plans, financing-related services, or additional premium features.
Unless otherwise stated, fees are non-refundable, subscriptions renew according to the selected billing cycle, and pricing may change upon reasonable notice.
Failure to pay applicable fees may result in service suspension, restricted access, or account termination.
Users may cancel subscriptions at any time before the next billing cycle. Cancellation will prevent future charges but will not automatically entitle users to refunds for previously billed periods.
Tendaly may consider refunds in limited circumstances involving duplicate payments, billing errors, or verified technical issues at its discretion.
Tendaly aims to maintain reliable platform availability but does not guarantee uninterrupted or error-free operation.
The platform may occasionally experience maintenance interruptions, technical failures, third-party service disruptions, internet-related issues, delays, or unexpected outages.
Tendaly reserves the right to modify, suspend, limit, or discontinue portions of the Services at any time.
Tendaly may integrate with or reference third-party platforms, including procurement portals, payment processors, cloud providers, AI infrastructure providers, analytics systems, financing institutions, and external services.
Tendaly does not control and is not responsible for third-party content, external systems, financing institutions, procurement authorities, or third-party operational practices.
Users interact with third-party services at their own risk and subject to applicable third-party terms and policies.
To the fullest extent permitted by applicable law, Tendaly and its affiliates, officers, employees, partners, licensors, and service providers shall not be liable for indirect damages, incidental damages, consequential damages, special damages, loss of profits, loss of business opportunities, procurement losses, financing losses, reputational harm, data loss, contract losses, or business interruption.
This limitation applies regardless of whether claims arise from use of the Services, inability to use the Services, AI-generated outputs, procurement decisions, financing decisions, platform interruptions, or third-party conduct.
Users acknowledge that procurement and financing activities inherently involve commercial risks.
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Tendaly disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or suitability for procurement or financing outcomes.
Tendaly does not warrant that the platform will be uninterrupted, outputs will be error-free, procurement opportunities will be accurate or complete, or users will achieve specific commercial results.
Users agree to indemnify, defend, and hold harmless Tendaly and its affiliates, officers, employees, partners, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from violation of these Terms, misuse of the platform, unlawful conduct, procurement submissions, uploaded content, financing activities, or infringement of third-party rights.
Tendaly reserves the right to suspend, restrict, or terminate access to the Services where users violate these Terms, engage in unlawful conduct, create security risks, misuse the platform, fail to pay applicable fees, or expose Tendaly to operational, reputational, or legal risk.
Termination does not relieve users of outstanding payment obligations or liabilities incurred before termination.
Tendaly may modify the Services, features, pricing, policies, or these Terms at any time.
Updated Terms may be published on the platform with revised effective dates.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
These Terms shall be governed and interpreted in accordance with the laws of the United Republic of Tanzania in which Tendaly operates, without regard to conflict of law principles.
Users agree to attempt good-faith resolution of disputes before initiating formal legal proceedings.
Where permitted by applicable law, disputes arising from these Terms may be resolved through negotiation, mediation, arbitration, or courts of competent jurisdiction.
